1. Name
    The name of the organisation shall be NOTTINGHAM ASIAN ARTS COUNCIL (NAAC) hereinafter called the "Council".
  2. Objectives
    The objectives of the Council shall be to promote the maintenance, improvement and development of artistic skill and knowledge, understanding, enjoyment and appreciation of the Asian Arts amongst the inhabitants of Nottinghamshire; both directly and through affiliated organisations. Further objectives of the Council are:
    1. To increase the accessibility of the Arts amongst the Asian Community
    2. To provide information regarding the artistic activities to all organisations
    3. To create new initiative in promoting and advancing the practice, presentation and study of Asian Arts.
    4. To sponsor visiting Artists both from the UK and abroad to perform in Nottinghamshire.
    5. To promote Artistic event/workshops in the City of Nottingham and the County of Nottinghamshire.
    6. To bring together and co-ordinate the efforts of local groups, organisations, societies and individuals concerned or interested in the attainment of any of the objectives of the Council.
    7. To co-operate with or give assistance to any association, society or organisation, established for similar objectives to that of the Council.
    8. To take any steps to secure the provision and development of suitable buildings, including Art Centres, where the Arts may be practised, presented and studied, and the provision and development in any such buildings or facilities for such purpose elsewhere.
    9. To take any other steps as may be necessary for the attainment of the foregoing objectives.
  3. Membership and Voting Rights
    1. Membership of the Council shall be open to all bona fide organisations properly constituted and operating in Nottinghamshire and surrounding districts, willing to accept and abide by the Constitution and by-laws of the Council. Such organisations will be required to lodge a copy of their Constitution with the Council. Annual Reports and Accounts must be submitted to the Council upon request.
    2. Membership of the Council shall be open to any individual interested in the objectives of the Council.
    3. An organisation or individual membership may resign at any time by giving notice in writing.
    4. The Executive Committee shall have the power to terminate the membership of individuals and affiliated organisations. The decision of the Committee is subject to the final approval of the Annual General Meeting or a Special Resolution meeting of the Council.
    5. Voting rights shall be extended to:
      • affiliated bona fide organisations who have been registered as members for a period of 24 months arid have renewed their membership no later than 6 months from the last date of expiry of their membership.
      • individual members who have been registered for a period of 12 months and have renewed their membership no later than 3 months from the last date of expiry of their membership.
    6. All membership fees must be paid at least 30 days prior to the date of the AGM of the Council.
    7. All organisations and individual membership fees which are not paid within the time limit stipulated in Clause 3e will cease to be members of the Council and after this time will be required to join as new members.
    8. All Trustees and Executive members must he fully paid up members and governed by the same rules as stipulated in Clauses 3e(ii) and 3g.
  4. Management
    1. There shall be an Executive Committee, hereinafter referred to as the "Committee" which shall he responsible for the attainment of the objectives of the Council (as defined in Clause 2 hereof), for the general management of the Council to which it shall report annually and for overall financial control subject to such delegation of responsibility as may be agreed by the Committee.
    2. The Committee shall be elected by the Council at its Annual General Meeting for a term of two years and the Committee shall then elect the following honorary officers:
      • Chairperson
      • Vice Chairperson
      • Secretary
      • Asst Secretary
      • Treasurer
      • Asst Treasurer
    3. The Committee shall be made up of:
      • 15 Elected members
      • 10 Trustees
      • up to 5 Co-opted members
      1. Elected members
        • 6 members elected from affiliated organisations, and
        • 9 members elected from individual membership at the Annual General Meeting. These members shall be elected for a term of 2 years.
      2. Trustees: are members who provide stability to the Council. The trustees will therefore serve a period of 2 terms (4 years). The trustees will be elected by the Executive Committee from the outgoing committee members. The election of the trustees shall take place every four years and at least 4 weeks before the respective elections. The Trustees will be composed of 5 members from the Indian community and 5 from the Pakistani community.
    4. The Executive Members shall ensure that there is representation of minority cultures and communities of the sub-continent and who offer expertise, skills and the time necessary to assist with the promotion and development of Nottingham Asian Arts Council and Asian Arts. The committee will exercise its power to co-opt upto 5 (five) members in order to achieve this representation and to redress representation when necessary.
    5. The Committee may create additional positions under clause 4b to carry out its business or as the need may be to share the workload of other officers. Such positions will be offered to committee members only and may be for a fixed period and renewable.
    6. The Committee shall meet at least five times a year and the quorum shall be seven members which shall include at least two honorary officers.
    7. The Committee may nominate individuals for the position of Patrons, Presidents and Vice-Presidents of the Council to the Annual General Meeting.
    8. The Committee shall have the power to appoint Committees or Sub-Committees as may be necessary for the conduct of the Council. Guidelines and terms of reference will be laid out for each subcommittee by the Executive Committee.
    9. The Chairperson or Secretary of all sub-committees shall be a member of the Executive Committee.
    10. If an Executive Committee member (including a Trustee) fails to attend 3 consecutive meetings without any apology or reasonable excuse, he or she may be removed from this position by a resolution of the Committee. If such action is taken, the member will be informed in writing.
  5. Annual General Meeting of the Council
    1. The Council shall hold an Annual General Meeting as soon as practicable and no later than 6 months after the end of the financial year.
    2. The business shall include:-
      • Annual reports by Officers and Executive, and consideration of audited accounts.
      • Appointment of an Auditor.
    3. A special General meeting of the Council can be called at any time on the written demand of any 10 affiliated organisations or 100 individual members of the Council.
    4. No less than 21 days notice will be given of all meetings of the Council.
    5. The quorum of all Council meetings shall be 100 members including at least 7 organisations.
  6. Dissolution.
    The Council may only be dissolved by a resolution at the Annual General Meeting or at a Special General meeting of 75% of the membership present and voting. No less than 28 days notice shall be given of such meetings. Such a resolution may give instructions for the disposal of the Council's assets, all debts and liabilities, such property shall not be paid or distributed among the members of the Committee, but shall be given or transferred to other institutions having charitable objectives and dealing mainly in Arts related work.
  7. Amendment to Constitution
    The Constitution may only be altered by 75% of the membership present and voting, provided that no alteration shall be made to the Constitution which would enable the property of the Council to be expanded for non-charitable purposes. Notice of proposed amendments must be given no less than 21 days prior to such a meeting.
  8. Definition of Terms.
    "Asian" refers to the cultural background pertaining to the Indian subcontinent, namely India, Pakistan and Bangladesh.
    "Arts" refers to all activities such as music, drama, dance, painting, photography,literature,,poetry. Other activities may be considered by the Committee and added to the list.
